Open Data Fabric provides AI-powered data and analytics solutions, including but not limited to:

• Conversational AI agents (voice and chat)
• Medical AI Vision tools
• Industrial Vision AI solutions
• Credit and collections management platforms
• Agentic workflow automation
• Retrieval-Augmented Generation (RAG) systems
• Asset and debt management platforms

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice.

3. User Accounts and Registration

Certain features of our services require you to register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure and confidential. You are responsible for all activity that occurs under your account. Notify us immediately at support@opendatafabric.com if you suspect unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.

You agree not to use our services to:

• Attempt to gain unauthorized access to any part of our systems or infrastructure
• Scrape, crawl, or extract data from our platform in an automated manner without prior written consent
• Reverse engineer, decompile, or disassemble any software provided as part of our services
• Use our services to develop competing products or services
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the integrity or performance of our services

5. Intellectual Property

All content, features, and functionality of our website and services — including but not limited to software, text, graphics, logos, icons, images, audio clips, and AI models — are the exclusive property of Open Data Fabric or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our services for your internal business purposes only. Nothing in these Terms transfers any ownership rights to you.

6. Customer Data

You retain ownership of all data you submit to our platform ("Customer Data"). By submitting Customer Data, you grant us a limited license to process it solely to provide and improve our services to you. We will not sell or share your Customer Data with third parties except as described in our Privacy Policy. You are responsible for ensuring you have the right to submit any data you provide to us, including obtaining necessary consents from individuals whose data you submit.

7. Payment Terms

Certain services are offered on a paid subscription basis. By subscribing, you agree to pay all applicable fees as described in your service agreement or order form. Fees are non-refundable except as expressly stated in a separate agreement. We reserve the right to modify pricing with 30 days' written notice. Failure to pay may result in suspension or termination of your account.

Our Medical AI Vision tools are intended for informational and analytical purposes only. They are not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of information provided by our tools. We do not accept any liability for decisions made based on outputs from our Medical AI features.

Our services may contain links to third-party websites or integrate with third-party services (such as OpenAI, AWS, WhatsApp/Meta). These are provided for your convenience only. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services. We encourage you to review the terms and privacy policies of any third-party services you use.

10. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components. AI-generated outputs are probabilistic in nature and may not always be accurate or appropriate for your use case.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Open Data Fabric and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business interruption — arising from your use of or inability to use our services, even if we have been advised of the possibility of such damages. Our total aggregate liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim or (b) USD $100.

12. Indemnification

You agree to indemnify, defend, and hold harmless Open Data Fabric and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of our services, your violation of these Terms, or your violation of any rights of a third party.

We reserve the right to suspend or terminate your access to our services, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, us, or third parties, or for any other reason at our sole discretion. Upon termination, your right to use the services will immediately cease. Sections relating to intellectual property, disclaimers, limitations of liability, and governing law shall survive termination.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Open Data Fabric is incorporated, without regard to its conflict of law provisions. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with applicable arbitration rules. You agree to waive any right to a jury trial or to participate in a class action lawsuit.
